This Intellectual Property Policy describes how Zemrato treats intellectual property rights in connection with its platform and services. By accessing or using our services, you acknowledge and agree to the terms set out below.
1. Ownership of Platform Content
All content, materials, features, and functionality available through the Zemrato platform — including but not limited to software, source code, algorithms, user interface designs, text, graphics, logos, icons, images, audio and video clips, data compilations, and documentation — are the exclusive property of Zemrato or its licensors and are protected by applicable intellectual property laws.
No rights, title, or interest in any platform content is transferred to you as a result of accessing or using the services. All rights not expressly granted in these terms are reserved by Zemrato.
2. Trademarks
The Zemrato name, logo, and any associated product or service names, slogans, and design marks are trademarks of Zemrato. You may not use, copy, reproduce, display, or incorporate any of these marks in any manner without prior written authorization from Zemrato.
Third-party trademarks, service marks, and trade names referenced on the platform remain the property of their respective owners. Such references do not imply any affiliation, sponsorship, or endorsement.
3. Software and Technology
3.1 Proprietary Software
The software underlying the Zemrato platform, including the AI budgeting and forecasting engine, data processing pipelines, and related systems, constitutes proprietary technology. This software is protected by copyright and other intellectual property laws.
3.2 Restrictions on Use
You agree not to:
— Copy, modify, adapt, translate, or create derivative works based on the platform software or any component thereof
— Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code or underlying algorithms from the platform
— Sell, sublicense, transfer, assign, or otherwise exploit the software for any purpose beyond your authorized personal or organizational use
— Remove, obscure, or alter any copyright notices, proprietary legends, or other intellectual property markings
— Use automated tools, scrapers, or bots to extract data, content, or structural logic from the platform without explicit written consent
4. User-Submitted Content
4.1 Your Ownership
You retain ownership of any content, data, or materials you submit, upload, or otherwise provide through the platform, including financial inputs, configuration data, and other user-generated information.
4.2 License Grant to Zemrato
By submitting content to the platform, you grant Zemrato a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, and display that content solely to the extent necessary to provide, maintain, and improve the services. This license terminates when you delete your content or close your account, subject to any retention obligations described in our Privacy Policy.
4.3 Your Representations
You represent and warrant that you have all rights necessary to submit the content you provide, and that such content does not infringe any third-party intellectual property rights, privacy rights, or applicable laws.
5. Third-Party Intellectual Property
The platform may incorporate third-party software components, open-source libraries, or licensed data sources. Such components remain subject to their respective licenses. Zemrato complies with applicable open-source licensing obligations and does not claim ownership over third-party intellectual property incorporated under license.
Nothing in this policy grants you any rights with respect to third-party intellectual property beyond what is already permitted under those third-party licenses.
6. Feedback and Suggestions
If you submit feedback, suggestions, ideas, or recommendations regarding the platform or services, you agree that Zemrato may use such input freely and without restriction, compensation, or attribution. By submitting feedback, you assign to Zemrato all rights in that feedback to the extent required for unrestricted use.
7. Copyright Infringement Claims
7.1 Reporting a Claim
If you believe that content available on the platform infringes your copyright, please send a written notice to our designated contact with the following information:
— A description of the copyrighted work you claim has been infringed
— A description of where the allegedly infringing material is located on the platform
— Your contact information, including name, address, telephone number, and email address
— A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or applicable law
— A statement, made under penalty of applicable law, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

7.2 Counter-Notices
If you believe content was removed or disabled as a result of a mistaken or misidentified infringement claim, you may submit a counter-notice with the relevant identifying information and a statement that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification.
7.3 Repeat Infringers
Zemrato reserves the right to terminate, in appropriate circumstances, the accounts of users who are found to be repeat infringers of intellectual property rights.
8. Limited License to Use the Platform
Subject to your compliance with these terms, Zemrato grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business or personal purposes as permitted by the applicable service agreement. This license does not include any right to resell, redistribute, or commercially exploit any part of the platform or its content.
9. Enforcement
Zemrato actively monitors and enforces its intellectual property rights. Unauthorized use of platform content, software, or trademarks may result in immediate suspension of access, legal action, or both. Zemrato reserves all rights and remedies available under applicable intellectual property law.
10. Changes to This Policy
Zemrato may update this Intellectual Property Policy from time to time. When changes are made, the revised policy will be posted with an updated date at the top of this page. Continued use of the platform after any such update constitutes your acceptance of the revised terms.
